Setting up investment structures

Through their contacts and past experience Hypa Management can set up and run a fully FSA authorised and operational structure into any asset class with minimal capital outlay for the client. If a client is looking at an investment opportunity and wants to run a “collective investment scheme” in order for this to be marketed to potential investors it has to be done so by an FSA authorised advisor and distributor, which is where Hypa Management can help. There is the usual due diligence that has to be done on the client and the investment opportunity as we have to fully believe in the project in order for us to put our name to that product and assist with the marketing.

The process would be as follows. Further to an initial discussion we would assess what the clients needs were and where the investors were going to be based. This would then determine what structure we would set up for that client. Whether the investors were onshore to the UK or offshore for example would determine whether we set up a UK limited company or an offshore vehicle, or both. The location of the investment would also affect the company structure in order that it was made fully tax efficient for UK SIPP investors. We would establish an exempt unit trust for the client making their investment fully SIPP compliant, we would also provide the managers and the trustees for the client.

We would help extensively with the tax planning of the client as a company and for the individual investors, we have many contacts in this field that can assist with all manner of sophisticated tax planning schemes that can be discussed individually with the client. We have extensive contacts throughout the world, especially in Africa and Russia and can assist with money transfers and tax planning in these countries to enhance the investment offer to the individual clients.
